					</table><p>Saatvik Cleantech EPC, a wholly owned subsidiary of Haryana-based solar module manufacturer <a href="https://saatvikgroup.com/" target="_blank" rel="noopener">Saatvik Green Energy</a>, has entered into a share purchase agreement to acquire a 49% stake in Intelligent Hydel Solutions, which is setting up a 41 MW solar project in Maharashtra.</p>
<p>Saatvik Cleantech EPC invested ₹1 million (~$11,038) by acquiring 100,000 equity shares of IHSPL, each with a face value of ₹10 (~$0.110). Saatvik will complete the transaction at an acquisition cost of ₹13.06 million (~$144,145).</p>
<p>IHSPL has entered into a power purchase agreement with Maharashtra State Electricity Distribution Company to set up a 41 MW solar project. Saatvik Cleantech intends to execute the project jointly with RMC Switchgears.</p>
<p>Saatvik said the acquisition is part of its expansion into the independent power producer segment.</p>
<p>Post-acquisition, RMC Switchgear, the parent company of IHSPL, will continue to be the holding company of IHSPL, holding 51% of the equity shares. The transaction is expected to be completed within 30 days.</p>
<p>Recently, Saatvik Green Energy <a href="https://www.mercomindia.com/saatvik-green-invests-%E2%82%B92-51-billion-in-subsidiarys-4-gw-solar-module-facility" target="_blank" rel="noopener">announced</a> an investment of ₹2.51 billion (~$27.75 million) in a 4 GW solar module manufacturing facility in Odisha. It subscribed to 8.5 million equity shares of Saatvik Solar Industries, a wholly owned subsidiary of the company, each with a face value of ₹10 (~$0.11) and a premium of ₹286 (~$3.16) per share.</p>
<p>In the third quarter of FY 2026, Saatvik Green Energy <a href="https://mercomindia.com/saatvik-greens-q3-earnings-up-on-higher-solar-module-demand" target="_blank" rel="noopener">recorded</a> a revenue of ₹12.57 billion (~$139.04 million), representing a 142.6% year-over-year increase from ₹5.18 billion (~$57.32 million). The company attributed the revenue increase to robust demand for solar modules, high capacity utilization, and continued traction from repeat customers.</p>
<p>Last year, Saatvik <a href="https://www.mercomindia.com/saatvik-commissions-2-gw-encapsulation-film-facility-in-haryana" target="_blank" rel="noopener">commissioned</a> a 2 GW in-house EPE film manufacturing facility in Ambala.</p>
<p>Saatvik Green operates a 4.8 GW module manufacturing facility and plans to <a href="https://www.mercomindia.com/saatvik-green-invests-%E2%82%B92-51-billion-in-subsidiarys-4-gw-solar-module-facility" target="_blank" rel="noopener">add</a> 4 GW of module manufacturing capacity in Odisha, with operations expected to be operational in FY 2026.</p>
<p>The cell-module manufacturing facility is being developed at an estimated cost of ₹18.50 billion (~$204.69 million).</p>
<p>In addition, the company plans to set up a 4.8 GW solar cell manufacturing facility, targeted to become operational by FY 2027, with a projected development cost of ₹13.5 billion (~$149.36 million).</p>

<p>The company attributed the revenue increase to robust demand for solar modules, high capacity utilization, and continued traction from repeat customers.</p>
<p>Profit after tax (PAT) stood at ₹987.22 million (~$10.92 million), marking a 144% YoY jump from ₹404.53 million (~$4.48 million).</p>
<p>Earnings before interest, taxes, depreciation, and amortization (EBITDA) came in at ₹1.65 billion (~$18.26 million), a 134.5% growth from ₹702.63 million (~$7.77 million) in the same quarter of the previous year.</p>
<p>Earnings per share (EPS) came in at ₹8.39 (~$0.093), compared to an EPS of ₹3.61 (~$0.040) a year ago.</p>
<p><strong>9M Results</strong></p>
<p>In the first nine months (9M) of FY 2026, Saatvik Green Energy’s revenue rose to ₹29.41 billion (~$325.34 million) from ₹12.39 billion (~$137.07 million, a 137.4% YoY increase.</p>
<p>PAT stood at ₹3.01 billion (~$33.30 million) in 9M FY 2026, a 144.7% YoY rise from ₹1.23 billion (~$13.61 million).</p>
<p>EBITDA for the period stood at ₹4.69 billion (~$51.9 million), up 134.5% from ₹2 billion (~$22.13 million) in the same period of the previous year.</p>
<p>Earnings per share came in at ₹25.57 (~$0.283), compared with an EPS of ₹10.95 (~$0.121) in 9M FY 2025.</p>
<p><strong>Business Highlights</strong></p>
<p>As of December 2025, Saatvik Green Energy’s order book stood at 5.05 GW.</p>
<p>During the period, the company secured repeat domestic orders aggregating ₹9.63 billion (~$106.55 million) from leading independent power producers and engineering, procurement, and construction (EPC) companies.</p>
<p>In Q3, Saatvik Green manufactured 759 MW of solar modules, a 110% YoY jump from 361 MW.</p>

<p>Prashant Mathur, CEO at Saatvik Green Energy, noted that 95% of the company’s revenue currently comes from module sales, but Saatvik Green aims to increase the contribution from EPC, solar pumps, and inverter businesses to 15%.</p>
<p>He highlighted that domestic content requirement orders currently account for only 3–4% of monthly sales.</p>
<p>During its Q3 earnings call for FY 2026, Saatvik Green said it plans to build an ingot and wafer manufacturing plant aligned with the upcoming Approved List of Models and Manufacturers for ingots and wafers. It also plans to establish a dedicated inverter manufacturing plant.</p>
<p><strong>Impact on Module Prices</strong></p>
<p>During the Q3 earnings call, Prashanth Mathur stated that due to volatility in prices, silver now accounts for 25% of module prices, up from 15% previously.</p>
<p>He welcomed the government’s decision to remove basic customs duty on the import of sodium antimonate used in glass manufacturing, noting that the tax relief is expected to lower glass prices and reduce module input costs.</p>
<p>Mathur also welcomed the U.S. decision to reduce tariffs to 18%. The company’s exports account for less than 1% of Saatvik Green&#8217;s total revenue. Saatvik is focused on geographies unaffected by U.S. tariffs. However, he confirmed that the company is actively exploring the U.S. market for solar modules and cells.</p>
<p>Regarding commodity price volatility, Mathur stated that the company is well-positioned to manage raw-material price fluctuations due to its large, secured inventory.</p>
<p>Commenting on India’s solar cell manufacturing capacity, he said it is expected to reach 50 GW by next year. He pointed out that of the existing 26 GW capacity, around 12 GW is Mono PERC technology, which is likely to become obsolete as newer technologies advance.</p>

<p>The company has clarified that there is no change in ownership or control, and Saatvik Solar Industries will continue to remain a 100% subsidiary of the company.</p>
<p>The investment was made from the proceeds of its initial public offering (IPO). Saatvik Green went public in September last year, <a href="https://www.mercomindia.com/saatvik-greens-ipo-closes-with-6-5-times-oversubscription" target="_blank" rel="noopener">raising</a> ₹11.5 billion (~$136.26 million).</p>
<p>Saatvik Solar Industries operates in the renewable energy sector, with activities spanning manufacturing, trading, distribution, installation, and operation of solar projects and related products.</p>
<p>The subsidiary is also expanding into advanced areas, including solar modules, solar thermal systems, green hydrogen, wind energy, inverters, batteries, and solar cells.</p>
<p>Saatvik Solar reported a turnover of ₹11.85 billion (~$131.01 million) in the financial year (FY) 2025, compared to ₹35.95 million (~$397,456) in FY 2024.</p>
<p>Saatvik Green had earlier announced that Saatvik Solar Industries received orders worth nearly ₹3 billion (~$33.16 million) to supply solar modules to independent power producers and engineering, procurement, and construction companies.</p>
<p>Recently, Saatvik Green <a href="https://www.mercomindia.com/saatvik-commissions-2-gw-encapsulation-film-facility-in-haryana" target="_blank" rel="noopener">operationalized</a> a 2 GW encapsulation polyolefin elastomer film manufacturing facility at its campus in Ambala, Haryana.</p>
<p>The company’s revenue <a href="https://www.mercomindia.com/saatvik-green-revenue-up-61-6-in-q2-on-sustained-solar-module-demand" target="_blank" rel="noopener">rose</a> 61.6% year-over-year to ₹7.68 billion (~$84.91 million) in Q2 of FY 2026, from ₹4.75 billion (~$52.52 million).</p>

<p>The company&#8217;s earnings before interest, taxes, depreciation, and amortization stood at ₹1.81 billion (~$20.39 million), a 346.04% growth from ₹405.92 million (~$4.57 million) in the same quarter of the previous year.</p>
<p>Saatvik&#8217;s quarterly net profit was ₹1.19 billion (~$13.41 million), up 459.30% YoY from ₹212.45 million (~$2.39 million).</p>
<p>The company&#8217;s earnings per share came in at ₹10.58 (~$0.119), compared to ₹1.90 (~$0.021) in Q1 FY 2025.</p>
<p>Saatvik manufactured 685 MW of solar modules during Q1 with a high capacity utilization of 81.47%. Its order book stood at 4.05 GW as of June 30, 2025.</p>
<p>Saatvik Solar Industries, a wholly owned subsidiary of Saatvik Green Energy, is <a href="https://www.mercomindia.com/saatvik-begins-work-on-4-8-gw-solar-cell-and-4-gw-module-facility-in-odisha/" target="_blank" rel="noopener">constructing</a> a solar cell and module manufacturing facility in Odisha. The facility will have the capacity to manufacture 4.8 GW of solar cells and 4 GW of solar modules.</p>
<p>The solar cell manufacturing facility is scheduled to be operational by the end of FY 2027, while the module manufacturing facility is expected to be commissioned by the end of FY 2026.</p>
<p>Following the completion of these projects, Saatvik&#8217;s total manufacturing capacity will be 4.8 GW for solar cells and 8.8 GW for integrated cell and module production across its sites in Ambala and Odisha.</p>
<p>Saatvik&#8217;s initial public offering (IPO) was <a href="https://www.mercomindia.com/saatvik-greens-ipo-closes-with-6-5-times-oversubscriptionhttps:/www.mercomindia.com/saatvik-greens-ipo-closes-with-6-5-times-oversubscription" target="_blank" rel="noopener">oversubscribed</a> 6.57 times at the end of the bidding window on September 23, 2025. 					</table><p>For nearly a decade, India’s interstate transmission system (ISTS) charges waiver has quietly shaped renewable power economics. By lowering landed tariffs on interstate sales, it encouraged the adoption of corporate open access and gave developers the confidence to scale. That cushion is now disappearing. The full waiver for solar and onshore wind expired on June 30, 2025, and has been replaced with a phased taper that will run until June 30, 2028.</p>
<p>The new framework <a href="https://www.mercomindia.com/no-ists-charges-waiver-solar-wind-june-2028" target="_blank" rel="noopener">reduces</a> charges by 75% in the financial year (FY) 2026, 50% in FY 2027, and 25% in FY 2028 before complete withdrawal. Developers and offtakers are now weighing how this shift will alter tariffs, project viability, and long-term growth in a sector that leaned heavily on waiver-driven competitiveness.</p>
<p><strong>Tariff Impacts </strong></p>
<p>Industry leaders are split on how much the tapering will affect tariffs. Some argue it has no direct bearing on discovered prices, while others warn it will push landed costs higher and dampen demand.</p>
<p>Rahul Mishra, Senior VP and Head of C&amp;I Business at <a href="https://blupineenergy.com/" target="_blank" rel="noopener">BluPine Energy</a>, believes that competitive bidding shields tariffs from transmission charges. Since bids are placed at the grid substation level, transmission costs are not factored into the quoted price.</p>
<p>He feels efficiency in capital deployment, technology, and execution discipline matter far more than transmission dynamics.</p>
<p>Others see the reality differently. Sanjeev Gupta, Director – Technical and Projects at <a href="https://hartek.com/" target="_blank" rel="noopener">Hartek Group</a>, pointed out that the full waiver effectively lowered landed tariffs by ₹0.40 (~$0.00457)/kWh to ₹0.50 (~$0.00571)/kWh. With tapering, he expects tariffs for distribution companies (DISCOMs) and corporate buyers to climb, which could strain procurement in a price-sensitive market.</p>
<p>Siddharth Bhatia, Managing Director at <a href="https://www.oysterrenewable.com/" target="_blank" rel="noopener">Oyster Renewables</a>, added that once the waiver is fully withdrawn, renewable power supplied through the grid could cost ₹0.80 (~$0.00914)/kWh to ₹1 (~$0.01143)/kWh more. While operational efficiencies and contract arrangements may offset some of the increase, buyers would still see higher bills overall.</p>
<p>The contrasting views highlight a deeper divide: tender tariffs may not formally reflect transmission costs, but landed prices at the buyer’s end do. Gupta warned, “Under the 75%, 50%, and 25% phase-down, tariffs could move upwards by 8% to 12%,” a level that could influence demand in states with strict tariff caps.</p>
<p><strong>Deadline Pressure </strong></p>
<p>The phase-down has triggered a wave of accelerated project execution. Developers across the sector pushed capacity forward to meet waiver-linked commissioning deadlines.</p>
<p>BluPine fast-tracked projects to align with the June 2025 cutoff and sought the Ministry of New and Renewable Energy-backed extensions in cases where land clearances, supply disruptions, or force majeure held things up.</p>
<p>Oyster Renewables adopted a similar approach, front-loading parts of its pipeline to maintain tariff competitiveness for DISCOMs and commercial and industrial buyers, while documenting bottlenecks, such as land acquisition delays or module import slowdowns, to justify extensions. Hartek moved aggressively to speed up nearly a third of its planned pipeline.</p>
<p>The net effect has been a sector-wide rush to deliver, driven not only by market economics but by regulatory timelines that have left little room for slippage.</p>
<p><strong>Rethinking Siting Strategies</strong></p>
<p>The taper is also pushing companies to rethink where they build. BluPine is already shifting its attention to within-state, state transmission utility-connected projects for corporate buyers, viewing them as a means to retain competitiveness once interstate transmission charges fully return after 2028.</p>
<p>Mishra noted that factors such as falling equipment prices and efficiency gains could eventually help absorb transmission costs. Still, in-state siting provides an added layer of cost stability for clients.</p>
<p>Oyster Renewables is taking a dual approach. The company continues to develop interstate projects where scale and resource quality give it an advantage, while selectively pursuing in-state supply structures when they reduce transmission risk.</p>
<p>Bhatia described this as a portfolio strategy that balances cost, optimizes capacity utilization, and secures predictable revenue.</p>
<p>Hartek is exploring similar site-level flexibility, preparing to keep power within state borders wherever viable once ISTS costs are reinstated.</p>
<p><strong>Transmission Bottlenecks Under the GNA Framework</strong></p>
<p>The General Network Access (GNA) regime, <a href="https://www.mercomindia.com/cerc-connectivity-general-network-access-regulations" target="_blank" rel="noopener">introduced</a> in 2022, was meant to streamline approvals and improve transparency. Experiences so far have been mixed.</p>
<p>BluPine reports smooth approvals at the initial stage, though execution of supporting infrastructure has required careful coordination. Its Central Transmission Utility projects have avoided curtailment so far; however, the company closely monitors congestion forecasts.</p>
<p>Oyster’s experience has been more uneven. While the framework has created more standardization, augmentation delays, and right-of-way challenges persist in high-demand corridors, and curtailments remain a real risk during peak renewable generation.</p>
<p>Hartek notes bottlenecks in augmentation and congestion are adding costs and undermining project economics.</p>
<p>The consensus among developers is that while the framework has improved the approval process, the physical build-out of transmission infrastructure continues to lag behind the growth of renewable energy sources.</p>
<p><strong>Storage and Risk Management </strong></p>
<p>Battery storage is emerging as a key hedge against the taper. BluPine is weighing the economics of co-located battery energy storage systems to retain the 100% ISTS charges waiver until June 2028, citing dispatch flexibility and grid stability benefits. Hartek is moving in the same direction, pairing storage with upcoming projects to sustain competitiveness.</p>
<p>Oyster is more cautious, warning that storage inevitably raises tariffs. Instead, it is experimenting with customized solutions that vary battery size depending on customer needs, aiming to smooth the supply curve while keeping overall costs in check.</p>
<p>Beyond storage, developers are looking at financial and operational hedges. BluPine sees short-term sales through day-ahead and real-time markets or limited-period GNA as likely strategies for independent power producers once central transmission utility projects go live. Oyster is already evaluating similar approaches as part of its broader risk management toolkit.</p>
<p><strong>Uneven State-Level Impacts</strong></p>
<p>The effects of tapering will not be evenly distributed. Developers expect sharper consequences in states with strict tariff caps and limited corridor availability.</p>
<p>Haryana and Rajasthan are expected to be among the hardest hit, while states with more flexible open-access rules may remain attractive. Resource-rich exporters like Rajasthan, Gujarat, and Tamil Nadu may also face challenges, not because of their generation economics but because long corridors raise landed tariffs for buyers. In contrast, states such as Madhya Pradesh, Maharashtra, and Karnataka could emerge relatively unscathed, and in some cases may even benefit from developers choosing in-state siting.</p>
<p>Prashant Mathur, CEO at <a href="https://saatvikgroup.com/" target="_blank" rel="noopener">Saatvik Green Energy</a>, emphasized the broader transition underway. “The tapering of ISTS charges waiver highlights the evolving economics of renewable energy and the importance of strategic planning to sustain competitiveness. Earlier, the full waiver significantly reduced the cost of transmitting electricity across state lines, helping renewables gain a strong competitive edge. With the phase-down now underway, developers will need to adapt to higher landed tariffs while continuing to attract buyers.”</p>
<p>For the sector, this transition underscores the importance of open access transmission, which can still enable businesses to procure renewable energy from anywhere in the country and reduce regional cost disparities. Done correctly, this will keep the sector attractive for investors and ensure consumers continue to benefit from affordable green power.</p>
<p>Mathur noted that waiver-linked deadlines have already driven faster execution, while the GNA framework has improved transparency, albeit with persisting challenges around augmentation and congestion. States with longer evacuation corridors, such as Rajasthan and Gujarat, may face sharper impacts once the waiver phases down, whereas projects closer to demand centres will remain relatively insulated.</p>
<p><strong>A Defining Moment </strong></p>
<p>The phase-out of the ISTS charges waiver represents a structural recalibration for Indian renewables. For some developers, it is a threat. Gupta cautioned that without calibrated deadline extensions, “several projects could turn borderline unviable,” potentially slowing India’s broader energy transition. For others, it is a catalyst for adaptation.</p>
<p>Mathur argued that sector competitiveness will now hinge on innovation, diversified offtake models, and continued policy support. Open access transmission, he said, will remain a powerful driver of corporate procurement. With the right mix of policy backing and business innovation, India can still stay on track for its 500 GW non-fossil target by 2030.</p>
<p>The taper removes a long-standing incentive, but it is also forcing developers to adjust strategies, whether through in-state siting, storage integration, portfolio diversification, or market hedging. Those shifts could ultimately make the sector more resilient in the decade ahead.</p>

					</table><p>Engineering, procurement, and construction (EPC) service provider <a href="https://saatvikgroup.com/" target="_blank" rel="noopener">Saatvik Green</a> has secured two EPC contracts for 23 MW solar projects from the Himachal Pradesh Power Corporation (<a href="https://www.hppcl.in/" target="_blank" rel="noopener">HPPCL</a>).</p>
<p>Saatvik Green will implement 11 MW and 12 MW solar projects in Lamlehri Upperli and Gondpur Bulla, respectively, in Himachal Pradesh.</p>
<p>The tenders were floated last June.</p>
<p>Saatvik Green will use N-type tunnel oxide passivated contact (N-TOPCon) modules for the Gondpur project to generate 19.13 million units of energy annually. It will use Mono passivated emitter and rear contact (PERC) modules for the Lamlehri project to produce 17.13 million units annually.</p>
<p>The company will be responsible for the end-to-end delivery of the commissioned projects to HPPCL. It will develop the land, design, engineer, procure equipment and material, pack, forward, transport, supply, unload, and test the manufacturer’s work for the projects.</p>
<p>It will provide complete insurance, associated civil works, electrical works, services, permits, licenses, installation, erection, commissioning, performance demonstration, and operational acceptance of the grid-interactive solar projects on a turnkey basis.</p>
<p>Saatvik will also provide comprehensive operation and maintenance for eight years. It will provide the equipment, materials, and services for operating the solar projects and integrating them with an evacuation system of the state electricity authority.</p>
<p>In November 2024, the company <a href="https://www.mercomindia.com/saatvik-green-files-ipo" target="_blank" rel="noopener">filed</a> its draft red herring prospectus with the Securities and Exchange Board of India to raise up to ₹11.5 billion (~$136.26 million) through an initial public offering.</p>
<p>Last December, Saatvik <a href="https://www.mercomindia.com/solar-module-capacity-under-almm-expands-to-62765-mw" target="_blank" rel="noopener">added</a> 1,174 MW of solar module capacity to the Approved List of Models and Manufacturers.</p>

Saatvik Green Wins EPC Contracts for 23 MW Solar Projects in Himachal Pradesh

					</table><p>Haryana-based solar module manufacturer <a href="https://saatvikgroup.com/" target="_blank" rel="noopener">Saatvik Green Energy</a> has filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India to raise up to ₹11.5 billion (~$136.26 million) through an initial public offering (IPO).</p>
<p>The company&#8217;s proposed IPO is a combination of a fresh issue of shares worth ₹8.5 billion (~$100.71 million) and an offer for sale (OFS) of ₹3 billion (~$35.54 million) by promoters. The shares will have a face value of ₹2 (~$0.024).</p>
<p>The net proceeds from the offer will be utilized primarily for debt repayment and investments in the company’s wholly-owned subsidiary, Saatvik Solar Industries.</p>
<p>Around ~₹123.12 million (~$1.45 million), will be allocated towards prepayment or repayment of certain borrowings by the company. Additionally, ~₹957.51 million (~$11.34 million) will be invested in Saatvik Solar Industries to repay its outstanding borrowings. Around ~₹5.53 billion (~$65.52 million) will also be used to establish a 4 GW solar module manufacturing facility at Gopalpur Industrial Park, Odisha.</p>
<p>DAM Capital Advisors, Ambit, and Motilal Oswal Investment Advisors will be the book-running lead manager for the IPO, and KFin Technologies will serve as the registrar.</p>
<p>Several clean energy companies have issued IPOs this year. Two leading renewable energy companies—<a href="https://www.premierenergies.com/" target="_blank" rel="noopener">Premier Energies</a> and <a href="https://waaree.com/" target="_blank" rel="noopener">Waaree Energies</a>—raised about $850 million in their initial public offerings this year.</p>
<p>ACME Solar Holdings’ ₹29 billion (~$344.85 million) IPO was oversubscribed 2.75 times. Solar module manufacturer Alpex Solar’s $8.9 million IPO was oversubscribed 303 times. Other companies that filed DRHPs include Vikram Solar, Solar91 Cleantech, Solarium Green, and Solarworld Energy.</p>
<p>A few clean energy companies took the QIP (qualified institutional placement) route to raise money. <a href="https://www.adanienergysolutions.com/" target="_blank" rel="noopener">Adani Energy Solutions</a> <a href="https://www.mercomindia.com/adani-energy-solutions-via-qip-route">raised</a> equity capital twice this year through QIPs for a total of $1.5 billion. Its second QIP in October <a href="https://www.mercomindia.com/adani-42-billion-qip" target="_blank" rel="noopener">received</a> bids 4.2 times the deal size. Earlier in the year, <a href="https://www.jsw.in/energy" target="_blank" rel="noopener">JSW Energy</a> <a href="https://www.mercomindia.com/jsw-energy-%E2%82%B950-billion-qualified-institutional-placement" target="_blank" rel="noopener">raised</a> $600 million in a QIP.</p>
<p>Reports say two other public sector companies, SJVN Green and NLC India’s green energy arm, are also considering raising money from the market in 2025.</p>
